Terms of Service

These Terms of Service (the "Terms") are a legal agreement between you (or the business you represent — "you") and BuilderPal ("BuilderPal", "we", "us") and govern your use of the BuilderPal website, mobile app, and contractor operating system (together, the "Service"). By creating an account or using the Service, you agree to these Terms.
1. The Service and your account
BuilderPal is a software-as-a-service platform for contractors and field-service businesses — quoting, scheduling, invoicing, payments, materials tracking, AI-assisted communication, and related tools. You must be at least 18 years old and able to enter a binding contract to use the Service.
- You are responsible for keeping your login credentials confidential and for everything that happens under your account.
- You must give accurate information when you register and keep it up to date.
- One person or business per account. If you sign up on behalf of an organization, you represent that you are authorized to bind that organization.
2. Plans, billing, and renewals
BuilderPal is offered on the plans described at /pricing: Free Forever, Solo, Crew, Pro, and Scale. Pricing, included usage, and feature availability are set out on that page and may change with notice. Paid plans bill in advance (monthly or annual). Annual plans currently receive a discount of approximately 20% versus the monthly rate.
- Trial: a 30-day trial of paid features is available without a credit card. Trial accounts revert to the Free Forever plan when the trial ends unless you start a paid subscription.
- Auto-renewal: paid plans renew automatically at the end of each billing period until you cancel.
- Currency: unless your plan page shows otherwise, fees are stated and billed in U.S. dollars. Local taxes (HST, GST, QST, PST, VAT, sales tax) are added where required.
- Card data: we use Stripe as our primary payment processor and (optionally for invoice payments) Square. We do not store full card numbers on our servers.
- Failed payments: if a charge fails we may retry it and may suspend paid features until payment succeeds. Your data is preserved during suspension.
- Price changes: we will give at least 30 days' notice before a price increase takes effect on your next renewal. You may cancel before the change takes effect.
2.1 Cancellation and refunds
You can cancel from your account settings at any time. Cancellation stops auto-renewal at the end of the current billing period. Refunds are governed by our Refund & Cancellation Policy. Nothing in these Terms limits any non-waivable refund or cancellation rights granted to you by the Ontario Consumer Protection Act or other applicable consumer-protection law.
3. Your content and customer data
Everything you upload to the Service — customers, leads, quotes, invoices, photos, voice notes, files, the information you ingest about the people you serve — is "Your Content". You keep all rights and ownership in Your Content. You grant BuilderPal a worldwide, non-exclusive, royalty-free license to host, store, transmit, transform, and display Your Content solely to operate, secure, and provide the Service to you.
You represent that you have the right to upload Your Content and to give us this license. When Your Content includes personal information about your customers or leads, you are responsible for collecting that information lawfully and for any notice or consent your customers are entitled to under PIPEDA, GDPR, CCPA, or other applicable law. Our role in respect of that data is described in our Privacy Policy.
4. AI features — important disclaimer
The Service includes AI-assisted features (for example, drafting quotes from photos or descriptions, OCR'ing receipts, summarizing inbound messages, drafting replies, and answering calls). AI output is generated by statistical models and may be incomplete, inaccurate, biased, or inappropriate. You are responsible for reviewing every AI-generated quote, price, measurement, message, voice response, or other output before you act on it or send it to a customer. BuilderPal makes no warranty that AI output is fit for any specific purpose, and we are not liable for losses resulting from your reliance on AI output without review.
5. Acceptable use
Your use of the Service is also subject to our Acceptable Use Policy ("AUP"). The AUP forbids, among other things, sending unsolicited commercial SMS or email through BuilderPal, attempting to bypass rate limits or security controls, and uploading unlawful or infringing content. Violations may result in suspension or termination.
6. Your responsibility for messages we send on your behalf
When you use the Service to send SMS through Twilio, email through Resend, or voice calls through the built-in dialer, those messages are sent in your name to recipients you choose. You must comply with all applicable laws — including Canada's Anti-Spam Legislation ("CASL") and, where you contact U.S. recipients, the Telephone Consumer Protection Act ("TCPA") and CAN-SPAM Act. Maintain records of recipient consent, honour unsubscribe and opt-out requests promptly, and identify yourself in every message as required by law.
7. Third-party integrations
The Service connects to third-party services you choose to enable (Stripe, Square, Google Workspace, Microsoft 365, QuickBooks Online, Google Calendar, Google Maps, etc.). Those services have their own terms and privacy policies. BuilderPal is not responsible for their behaviour, downtime, or pricing.
8. Intellectual property
Other than Your Content, the Service, its software, its designs, its branding, and all related intellectual-property rights are and remain the exclusive property of BuilderPal and its licensors. You may not copy, modify, reverse-engineer, decompile, scrape, or resell the Service, except to the extent that applicable law expressly permits. We may use feedback you give us about the Service without obligation.
9. Beta features
Features we label as "beta", "preview", "experimental", or similar are provided as-is, may change or be removed at any time, and are excluded from any service-level commitments.
10. Suspension and termination
We may suspend or terminate your access to the Service if (a) you materially breach these Terms or the AUP, (b) payment fails and is not cured after notice, (c) we are legally required to, or (d) continued provision of the Service poses a security, fraud, or abuse risk. We will give reasonable notice where practicable.
You may close your account at any time. After termination we will keep Your Content available for export for 30 days, then delete or irreversibly anonymize it in line with our Privacy Policy.
11. Disclaimers
Except where prohibited by law, the Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that the Service will meet your requirements or that any data, including AI output, will be accurate or reliable.
12. Limitation of liability
To the maximum extent permitted by law:
- BuilderPal will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, even if we were advised of the possibility.
- Our aggregate liability arising out of or relating to the Service or these Terms is limited to the greater of (a) the fees you paid us in the 12 months immediately before the event giving rise to liability or (b) CAD $100.
- Nothing in these Terms limits any liability that cannot be limited by law (for example, liability for fraud or for personal injury caused by negligence).
13. Indemnification
You agree to defend, indemnify, and hold BuilderPal and its officers, directors, employees, and agents harmless from any claim, loss, damage, liability, or expense (including reasonable legal fees) arising out of (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, the AUP, or applicable law, including CASL/TCPA/CAN-SPAM, or (d) your infringement of any third-party right.
14. Changes to the Service or these Terms
We may modify the Service, including by adding, removing, or changing features. If we change these Terms in a way that adversely affects you, we will give at least 30 days' notice (for example, by email or an in-app banner) before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance.
15. Governing law and dispute resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and BuilderPal agree to the exclusive jurisdiction of the courts located in Toronto, Ontario for any dispute arising out of these Terms or the Service, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
16. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, the Acceptable Use Policy, and any order form, constitute the entire agreement between you and BuilderPal.
- Severability. If any part of these Terms is unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a right is not a waiver of that right.
- Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Notices. We will send legal notices to the email on your account. You can send legal notices to the contact below.
- Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control.
